Terms and Conditions
Effective September 19, 2026
By accessing or using VialNexus, you agree to these Terms and Conditions, including the limitations of liability below to the extent permitted by applicable law. If you do not agree, do not use the service.
Inventory management for research laboratories
VialNexus is provided solely as inventory-management software for research laboratories and research-based businesses, including inventory coordination between research labs. It is not provided for the purchase or sale of federally regulated drugs or research compounds.
The platform’s permitted operational purpose is to maintain inventory records, communicate inventory inquiries, manage access, and record inventory reservations, allocations, and handoffs. Users must use these tools only for lawful research inventory administration.
1. Permitted users and use
Business and customer accounts are intended for adults aged 21 or older acting for a research laboratory, research facility, or research-based business. You must provide accurate identity and facility information, have authority to act for your organization, and keep your account credentials secure.
You are responsible for the accuracy of your inventory records, quantities, product identifiers, and communications, including reviewing AI-generated scan suggestions before saving them. Account declarations are user attestations; they do not constitute independent verification or certification by VialNexus.
2. No purchases or sales through the platform
You may not use VialNexus to offer, solicit, negotiate, arrange, process, or complete the purchase or sale of federally regulated drugs or research compounds, or to collect or confirm payment for those materials.
Inventory inquiries are requests for inventory information and coordination. An inquiry, reservation, allocation, or handoff record within VialNexus is an administrative record, not a checkout, invoice, payment receipt, or authorization to purchase, sell, distribute, or use any substance.
Do not use product names, inventory entries, contact details, or other platform features to evade these restrictions. Any activity outside VialNexus remains subject to applicable law; moving a transaction outside the platform does not make an unlawful activity permissible.
3. Research use and legal compliance
You may not use the platform to promote human consumption, self-administration, or unapproved therapeutic use of research materials, or to make misleading claims about their safety, efficacy, approval, or legal status.
Each organization is responsible for determining and complying with the laws, licenses, permits, institutional approvals, storage requirements, and other obligations applicable to its activities and materials. VialNexus does not authorize any otherwise prohibited activity.
The phrases “research use only,” “not for human consumption,” and “inventory inquiry” do not create a legal exemption or determine a substance’s regulatory status. These terms do not override applicable law.
4. Software membership fees
VialNexus may charge subscription fees for access to its software and inventory-tracking features. These fees purchase software services only; they are not payments for drugs, research compounds, or other inventory held by a user. Prices, billing intervals, and available subscription-management options are shown during enrollment and in account settings.
5. Information and platform limitations
VialNexus does not certify the identity, quality, safety, regulatory approval, or legality of a material merely because it appears in an inventory record or starter template. Inventory counts and automated suggestions may contain errors and require user review.
The separate VialNexus research library provides educational summaries of selected scientific publications. It is not a product catalog for transactions, medical advice, dosing guidance, or a recommendation to purchase or consume a substance.
6. Misuse and access restrictions
VialNexus may review reported misuse and restrict or suspend platform access for violations of these terms or applicable law. Users must not bypass access controls, misrepresent their research affiliation, or use another organization’s records without authorization.
7. Limitation of liability
To the maximum extent permitted by applicable law, VialNexus is not liable for losses arising from user-provided inventory information, inaccurate records or automated suggestions, unauthorized or unlawful use of materials, or the acts or omissions of other users or third parties.
To the maximum extent permitted by applicable law, VialNexus will not be liable for indirect, incidental, special, or consequential damages, including lost profits, lost business opportunities, or loss of data arising from use of or inability to use the service. Users remain responsible for verifying records and for their own research, handling, and compliance decisions.
Nothing in these terms excludes or limits liability, remedies, or rights that cannot lawfully be excluded or limited. These terms do not release VialNexus from obligations imposed by applicable law.
8. Updates and contact
Updates to these terms will be posted on this page with a revised effective date. For questions about these terms or to report prohibited platform activity, contact brandon@vialnexus.com.
